Wendy's Franchisee Meritage to Sell 42 Locations for $18.6 Million

Bankrupt operator Meritage Hospitality Group has agreed to sell 42 Wendy’s restaurants to help clear overdue royalty payments.
Meritage Hospitality Group has reached an agreement to sell 42 of its Wendy’s restaurant locations in an $18.6 million transaction. The deal comes as the major franchisee attempts to navigate Chapter 11 bankruptcy proceedings and restructure its balance sheet.
Proceeds generated from the asset sale are slated to cover overdue royalty fees and operational expenses owed to the franchisor, according to documents filed in federal bankruptcy court. The company has faced mounting pressure from creditors after falling behind on contractual payments over recent quarters.
The divestment of the 42 locations represents a major reduction in the company's operational footprint. Under the terms submitted to the court, the purchase price remains subject to customary closing adjustments and debt satisfaction requirements before funds can be distributed to secondary creditors.
The financial challenges facing the operator stem from a combination of rising labor costs, elevated commodity prices, and reduced consumer spending across the quick-service restaurant sector. Although the proceeds will satisfy immediate royalty defaults, significant long-term debt obligations remain outstanding on the company’s books.
The proposed transaction requires formal approval from the presiding bankruptcy judge before the sale can close. A court hearing to evaluate the purchase agreement and consider any competing bids or creditor objections is scheduled for the coming weeks.
