Receiver Nears Sale of Insolvent Whiskey Maker as New Bidders Emerge

A court-appointed receiver plans to utilize Chapter 11 bankruptcy to transfer the whiskey brand's assets free of existing liabilities to one of three prospective buyers.
A court-appointed receiver overseeing the insolvent company behind the Uncle Nearest whiskey brand announced that a sale of the business is near completion following the collapse of a previous acquisition agreement. Three new prospective buyers have emerged to bid on the distressed spirits maker.
The receiver plans to execute the transaction by placing the enterprise into Chapter 11 bankruptcy protection. This legal mechanism will allow the assets, inventory, and intellectual property of the whiskey brand to be transferred to a buyer free and clear of the company’s existing liabilities and debt burdens.
The transition to new potential suitors comes after exclusive negotiations with an earlier undisclosed buyer fell apart. While the identities of the three current prospective purchasers remain undisclosed, the receiver noted that competitive interest has accelerated the timeline toward a final purchase agreement.
Under the structured bankruptcy sale process, proceeds generated from the acquisition will be allocated toward satisfying outstanding claims held by creditors. The strategy aims to preserve ongoing business operations and brand distribution while clearing the corporate balance sheet.
A definitive asset purchase agreement, along with motions establishing court-supervised bidding procedures, is expected to be submitted to the court shortly. A judge must grant final approval before the transfer of ownership can be finalized.
