Real estate franchisor RE/MAX posted a 5.8 percent drop in quarterly revenue as its domestic agent headcount fell to its lowest level in at least two years. The financial results arrive shortly before company shareholders are scheduled to vote on a proposed acquisition by The Real Brokerage.
The upcoming shareholder vote, set for Aug. 14, will determine whether the legacy brokerage firm transitions away from operating as an independent publicly traded entity. The proposed transaction follows prolonged headwinds in the residential housing market, including elevated mortgage rates and low housing supply.
The decrease in U.S. agent count highlights ongoing retention pressures across the real estate sector. Headcount remains a critical metric for franchise-based brokerages, as agent fees and transaction volumes directly generate corporate top-line revenue.
Despite the contraction in its domestic agent roster, RE/MAX maintains a broad global franchise network. The company has prioritized operational efficiency and cost control leading up to the vote on the pending combination.
If approved by stockholders, the deal will combine RE/MAX's brand presence with the technology-driven platform operated by The Real Brokerage. The transaction remains subject to customary closing conditions and final regulatory approvals following the vote.
