SAN JOSE, Calif. — Digital payments pioneer PayPal Holdings Inc. has reopened formal acquisition negotiations with competing transaction processor Stripe and a private equity partner, four weeks after turning down an initial $53 billion takeover proposal.
The resumption of high-level talks comes after PayPal's board of directors previously determined that the earlier cash-and-stock offer significantly undervalued the company's global active user base and proprietary processing infrastructure. The current negotiations are expected to evaluate a higher total transaction value alongside modified equity distribution terms.
A successful combination between PayPal and Stripe would consolidate two of the largest entities in modern internet commerce infrastructure. While PayPal maintains a substantial consumer digital wallet presence and broad international brand recognition, Stripe has established a dominant footprint providing backend payment capabilities for enterprise applications and web merchants.
The participation of an unnamed private equity firm provides the necessary balance sheet capital required to fund a corporate transaction of this scale. The private investment component is expected to assist in managing existing corporate debt obligations while facilitating the equity transition for public shareholders.
Representatives for PayPal and Stripe have not publicly commented on the ongoing deliberations. Any finalized agreement would remain contingent upon board approvals, shareholder votes, and extensive regulatory scrutiny from antitrust authorities across North America and Europe.
