Fathom Holdings and Bed Bath & Beyond Parent Terminate Merger Deal

Fathom Holdings and Beyond Inc. have mutually agreed to end their proposed business combination without any termination penalties.

Fathom Holdings Inc. and Beyond Inc., the parent company of Bed Bath & Beyond, announced Monday that their respective boards of directors have mutually agreed to terminate their planned merger agreement, halting the proposed combination between the real estate services platform and the retail holding company.

According to corporate disclosures released alongside the announcement, the decision to abandon the transaction was mutual. Neither company will be subject to termination fees or financial penalties as a result of scuttling the deal, and all active negotiations between the parties have officially ceased.

The proposed merger was originally structured to unite Fathom's technology-driven real estate brokerage operations with Beyond's expanded consumer marketplace footprint. The combined entity aimed to leverage cross-platform promotional opportunities across home management, buying, and retail merchandise.

In executive statements, the companies indicated that recent evaluations of strategic priorities and broader macroeconomic conditions led to the conclusion that remaining independent would better serve their respective shareholders. Both leadership teams emphasized that the decision was reached amicably.

Beyond Inc., which purchased the Bed Bath & Beyond brand and digital assets following its bankruptcy proceedings, plans to refocus on its core e-commerce initiatives. Fathom Holdings will continue operating as an independent entity, concentrating on its core real estate, mortgage, and title service operations.

All pending regulatory filings and shareholder meetings associated with the approval of the transaction have been canceled with immediate effect.
